Position Overview

The Director, Compliance & Legal is responsible for the accurate and timely preparation and management of compliance related filings and reporting; as well as keeping up to date with market and regulatory changes to ensure compliance with the requirements of federal and provincial insurance regulators.

Key Accountabilities

• Prepare and file all federal and provincial regulatory non-financial corporate returns and reporting (e.g. OSFI, CBCA, Stats Canada) for both Munich Reinsurance Company of Canada (MROC) and Temple Insurance Company (Temple).
• Assist with planning and coordination of the Munich Re Canada Boards and Committees, including liaising with senior management/staff regarding the preparation of board materials and any other activities that may be needed to support the board process.
• Ensure all corporate books are kept current with minutes, resolutions, by-laws, etc.
• Maintain cheque signing authorities by keeping apprised of staff changes and ensuring records are updated accordingly. Advise the bank of changes, as necessary.
• Monitor for changes in relevant legislation/regulation, affecting the companies’ operations and communicate findings and/or suggested actions to Senior Vice President, Compliance.
• Manage cash, banking and investment activities, and communicate with Finance for reporting purposes, in addition to managing corresponding governance processes.
• Participate in cross-functional initiatives, including suggesting changes to processes, etc. as required (e.g. relevant audits, Disaster Recovery testing, director fees surveys, communicating with IT developers regarding system reporting requirements for OSFI reporting, etc.).
• Manage regularly occurring compliance initiatives (i.e. monthly/quarterly/annually) and ad hoc compliance projects.
• Act as the primary contact and administrator for the Ethidex Risk Manager Service Compliance Office software, which monitors Federal and Provincial legislative requirements. Manage the Munich Re Canada Ethidex process internally.
• Maintain the company’s Regulatory Compliance Management systems (including the Organizational Norm Database) together with the Corporate and Legal group.

Required Education

• University Degree (law, business or finance degree is an asset).

Preferred Experience

• 5 to 10 years of business experience in a legal, corporate or financial environment.
• Basic accounting knowledge is desirable.
• Corporate secretarial experience is helpful.

• Excellent written and oral communication skills, with the ability to adjust communication style to audience whether internally or externally.
• Proficient in Microsoft Office particularly, Outlook, Word and Excel.
• Excellent organizational, planning, and time management skills.
• Ability to implement and follow-up on plans.
• High degree of flexibility and adaptability to changing environment and situations.
• Demonstrate accuracy and an eye for attention to detail.
• Ability to work under pressure and meet deadlines.
• Good business and general insurance acumen.
• Ability to develop and nurture working relationships within Munich Re North America and within the broader Munich Re Group.
