You will be working with some of North America’s leading life science organizations adding to our impressive lineup of start-ups including BlueRock Therapeutics, Trillium Therapeutics, Adela Bio Inc., Treadwell Therapeutics, AvroBio, and more. These companies, first incubated within UHN, are among many others that have collectively injected more than $5 billion into the economy.
Hundreds of contracts accelerating commercialization partnerships are stewarded by Commercialization at UHN every year, helping bring research that much closer to patient impact. These include contracts related to the exchange of biomaterials and other enabling tools, via Data and Material Transfer Agreements (D/MTAs), academic Collaboration Agreements, and other Research and Commercial Agreements. While some involve UHN researchers and clinicians only, most involve third-parties such as pharmaceutical and medical device companies, government agencies, and other research institutions. It is imperative that appropriate legal agreements are in place to govern these relationships as well as to manage and mitigate risk to UHN and UHN participants.
As the Commercial Agreements Specialist, you will work collaboratively as part of a team whose values include providing excellent client service, and serve as an enthusiastic ambassador of Commercialization throughout UHN. You will be responsible for managing UHN’s D/MTA/academic collaboration agreements process and workflow, as well as a selection of other Research and Commercial Agreements (with direction of Research Legal Counsel). After receiving agreement requests for D/MTAs and related agreements from internal and external clients, you will ensure the completion of the request, from requisition through to execution of the agreement, working with other members of Commercialization at UHN as needed.
Specifically, you will be responsible for:
Preparing agreements following Commercialization at UHN and external organization templates.
Reviewing all D/MTAs to ensure required details supplied, appropriate parties and signatories noted, and all relevant documentation in support of MTA agreements from Research Ethics Board are obtained.
Under the direction of Research Legal Counsel, facilitate the preparation, processing and execution of select other Research and Commercial Agreements.
Communicating and interacting with internal and external clients including UHN research community (e.g., Principal Investigators, research managers), external contract offices, and Commercialization at UHN team members.
Negotiating certain terms in D/MTA’s under the direction of Research Legal Counsel.
Filing and maintaining documentation of D/MTAs in Commercialization at UHN’s contract management database (Wellspring).
Resolving issues and liaising with key internal and external stakeholders to facilitate buy-in of all parties in a timely, effective manner, and ensuring appropriate communication at all levels.
Assisting in the development of Commercialization IP/Research Legal review tools and SOPs.
Working collaboratively as part of a team environment focused on successful IP stewardship to ensure successful implementation of major team initiatives, demonstrating outstanding communication and collaboration skills.
Performing cross-functional and/or other duties consistent with the job classification, as assigned.
At minimum, 3 years practical and related experience or 2 years on the job training with at least 2 years of experience drafting, interpreting and negotiating agreements including commercial and/or research agreements.
Completion of a Master’s degree in a relevant biomedical science or engineering discipline, or recognized equivalent (required).
Senior paralegal or legal training highly preferred; law degree would be an asset.
Significant experience or training in contracts or research administration preferred
Familiarity with agreements common to a technology transfer office (specifically Material Transfer Agreements, Intellectual Property Disclosures, Confidentiality Agreements, Sponsored Research Agreements, License Agreements, business contracts, etc.) highly preferred
Experience in a Microsoft Office environment preferred
Excellent verbal and written communication skills required
Excellent interpersonal and customer service skills required
Attention to detail/analytical thinking and excellent organizational abilities, including managing personal timelines and priorities with minimal supervision, required
Ability to manage and prioritize projects simultaneously; to efficiently communicate, write, edit, analyze, negotiate and problem solve
Experience working in a hospital research environment preferred
Previous on-the-job experience with a contract management database such as Wellspring preferred
Vaccines (COVID-19 and others) are a requirement of the job unless you have an exemption on a medical ground pursuant to the Ontario Human Rights Code.
